Md. Code Ann., CORPS. &amp; ASS&#8217;NS \u00a7 4A-911(2021); <a href=\"https:\/\/www.courts.state.md.us\/data\/opinions\/coa\/2004\/115a03.pdf\">Dual, Inc. v. Lockeed Martin Corp<\/a>., 383 Md. 151, 163, 857 A.2d 1095, 1101 (2004) (A &#8220;corporation, the charter for which is forfeit, is a legal non-entity&#8230;.\u201d); <a href=\"https:\/\/www.courtlistener.com\/opinion\/2167059\/kroop-kurland-v-lambros\/\">Kroop &amp; Kurland, PA. v. Lambros<\/a>, 118 Md. App. 651, 656, 703 A.2d 1287, 1289 (1998) (If the company&#8217;s &#8220;charter is forfeited for non-payment of taxes or failure to file an annual report, the corporation is dissolved by operation of law and ceases to exist as a legal entity.\u201d).<\/p>\n<p>But capacity to be sued as a defunct LLC is an entirely different story as this motion makes clear.\u00a0 There is no impediment to suing a forfeited business.
